PLEASE READ THIS AFFILIATE PROGRAM AGREEMENT CAREFULLY.

This Marketing Affiliate Program Agreement (the “Agreement”) is a contract between you (the “Affiliate”) and Sparky AI, Inc. d/b/a ArchetypeID, a Georgia corporation with offices at 235 Mitchell St. SW, Atlanta, GA 30303 (“we”, “us”, “our”, and “ArchetypeID”) and applies to your participation in our marketing affiliate program (the “Affiliate Program”).

1. DEFINITIONS

  • “Affiliate Lead” means a customer prospect who (i) has no pre-existing business relationship with ArchetypeID and (ii) clicks on the Affiliate Link that we have made available to you via the Affiliate Tool.
  • “Affiliate Link” means the unique tracking link you place on your site or promote through other channels.
  • “Affiliate Tool” means PromoteKit or other similar tool that we make available to you upon your acceptance into the Affiliate Program.
  • “Commission” means an amount equal to twenty percent (20%) of the subscription price of the Commissionable Plan actually paid by a Customer.
  • “Commissionable Plan” means strictly ArchetypeID’s standard, self-serve “Pro” or “Teams” subscription plans. Explicitly excluded from Commissionable Plans are any Enterprise plans, custom Master Services Agreements (MSAs), Pilot or Proof of Concept (POC) agreements, and API usage/compute fees.
  • “Customer” means the authorized actual user who has purchased or signed up for a Commissionable Plan after being a valid Affiliate Lead.
  • “Customer Transactions” means those transactions by Affiliate Leads that are eligible for Commission pursuant to this Agreement.

2. NON-EXCLUSIVITY & AFFILIATE ACCEPTANCE

This Agreement does not create an exclusive agreement between you and us. Once you complete an application to become an Affiliate, we will review your application and notify you whether you have been accepted. We reserve the right to reject any application in our sole discretion. If accepted, you will comply with the terms and conditions of this Agreement at all times, including any applicable Program Policies.

3. COMMISSIONS AND PAYMENTS

  • 3.1 Affiliate Program Limits (12-Month Cap). We will pay you a Commission of 20% for each new Customer during the first twelve (12) months of the Customer’s subscription term, so long as the Customer remains a Customer on a Commissionable Plan. The start of the Customer’s subscription is determined by the date of the first purchase. You are not eligible for any Commissions on revenue generated from that Customer after the initial 12-month period.
  • 3.2 Plan Upgrades & Exclusions. If the Customer cancels their subscription, you will stop receiving Commissions. If the Customer upgrades from a Commissionable Plan to a non-commissionable Enterprise or Custom MSA tier, you will immediately stop receiving Commissions.
  • 3.3 Payment Schedule. Your Commission will be paid on the same schedule the Customer pays (e.g., if the Customer pays monthly, you will be paid monthly). You must earn at least $25 (USD) in Commissions before you are eligible to receive a payout.
  • 3.4 Refunds & Chargebacks. If a Customer from which you’ve received a Commission later receives a refund or chargeback, the Commission will be recouped from any future Commissions you receive.
  • 3.5 Eligibility & Forfeiture. You must have a valid payment method (e.g., PayPal, Wise) and completed tax documentation on file to receive payment. We will have no obligation to pay Commissions if the Customer Transaction was obtained by fraudulent means, cookie stuffing, or in violation of any Affiliate Program Policies.

4. AFFILIATE REPRESENTATIONS & COVENANTS

You represent, warrant, and covenant that:

  • You will comply with any and all applicable trade or regulatory requirements (e.g., clearly stating you are an ArchetypeID Affiliate on any website where you place an Affiliate Link).
  • You will not purchase ads that direct to your site(s) or through an Affiliate Link that compete with ArchetypeID’s own advertising, including bidding on branded keywords (e.g., “ArchetypeID”, “Sparky AI”).
  • You will not participate in cookie stuffing, pop-ups, or false/misleading links.
  • You will not use your own Affiliate Link to purchase ArchetypeID products for yourself.
  • You will not make any claims that the use of ArchetypeID will guarantee that the user will make money (Income and Business Opportunity Claims).

5. FTC COMPLIANCE & DISCLOSURES

Affiliate shall distribute advertisements in strict compliance with all applicable laws, including the federal CAN-SPAM Act, GDPR, CCPA, and the FTC’s Revised Endorsements and Testimonials Guides.

Mandatory Disclosure: On any website or social media post where Affiliate advertises any ArchetypeID service, Affiliate must plainly display a clear and conspicuous disclaimer, such as: ”Disclosure: I am an independent Affiliate for ArchetypeID, not an employee. I receive referral payments from ArchetypeID. The opinions expressed here are my own and are not official statements of Sparky AI, Inc. or ArchetypeID.”

6. PROPRIETARY RIGHTS

ArchetypeID retains all ownership rights in its products, services, platforms, and trademarks. You agree not to copy, rent, lease, sell, distribute, or create derivative works based on ArchetypeID products. We grant you a nonexclusive, nontransferable, revocable, royalty-free right to use and display our provided logos and trademarks strictly in connection with the Affiliate Program, provided you comply with our Brand Guidelines. You must not use our trademarks in a misleading or disparaging way.

7. CONFIDENTIALITY

“Confidential Information” means all confidential information disclosed by ArchetypeID to you, including prospect and customer data. You shall protect the confidentiality of our Confidential Information using no less than reasonable care, and shall not use it for any purpose outside the scope of this Agreement or disclose it to any third party.

8. INDEMNIFICATION & LIMITATION OF LIABILITY

  • 8.1 Indemnification. You will indemnify, defend and hold us harmless against any third-party claim, suit, action, or proceeding arising out of (a) your participation in the Affiliate Program, (b) your noncompliance with or breach of this Agreement, or (c) your deceptive marketing practices.
  • 8.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARCHETYPEID BE LIABLE FOR ANY INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS. OUR AGGREGATE LIABILITY WILL BE LIMITED TO THE TOTAL COMMISSION AMOUNTS YOU HAVE ACTUALLY EARNED FOR THE RELATED CUSTOMER TRANSACTIONS IN THE TWELVE-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO A CLAIM.

9. TERM AND TERMINATION

  • 9.1 Term. This Agreement will apply for as long as you participate in the Affiliate Program.
  • 9.2 Termination. Either party may terminate this Agreement without cause on seven (7) days’ written notice. We may terminate this Agreement for cause immediately upon notice if you breach this Agreement, engage in deceptive marketing, or act in a way that negatively reflects on our brand.
  • 9.3 Effect of Termination. Upon termination, you will discontinue all use of and delete the Affiliate Tool, and immediately remove all ArchetypeID trademarks and links from your websites and collateral. We will pay you any legitimately earned Commissions recognized within thirty (30) days after termination, except in cases of termination for your breach or fraud, in which case unpaid Commissions are forfeited.

10. MISCELLANEOUS

  • 10.1 Governing Law; Venue. This Agreement shall be governed by the laws of the State of Georgia, without regard to its conflict of laws provisions. The exclusive venue and jurisdiction for any action arising under this Agreement shall be in the state and federal courts located in Atlanta, Georgia.
  • 10.2 Independent Contractors. No joint venture, partnership, employment, or agency relationship exists between you and us as a result of this Agreement.
  • 10.3 Entire Agreement; Modifications. This Agreement constitutes the entire agreement between us for the Affiliate Program. We may update and change any part of this Agreement at any time. If we update this Agreement, the updated version will be made available via the Affiliate Tool or email. Your continued participation in the program constitutes acceptance of the updated terms.

By joining the ArchetypeID Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
